Influencer Agreement
Independent Contractor Agreement
This Agreement is entered into between:
Influvia, operating via https://influvia.in
AND
The Influencer, whose details are provided during onboarding.
1. Independent Contractor Relationship
- The Influencer is an independent contractor.
- Nothing in this Agreement creates an employer-employee, partnership, or agency relationship between Influvia and the Influencer.
2. Scope of Work
- The Influencer agrees to:
- Create and publish content as per campaign brief
- Deliver agreed formats (reels, posts, stories, videos, etc.)
- Follow timelines and submission deadlines
- Comply with brand guidelines
- Campaign-specific deliverables will be shared separately.
3. Content Standards
- Influencer confirms that:
- Content will be original and authentic
- No copyrighted, misleading, or illegal material will be used
- Platform policies (Instagram, YouTube, etc.) will be followed
- Disclosure requirements (ads/collaborations) will be met
4. Review & Revisions
- Brands may request reasonable revisions
- Influencer agrees to cooperate within agreed limits
- Final approval rests with the brand
5. Payment Terms
- Payment structure is campaign-specific
- Payments may be released after content delivery and approval
- Payments once made are non-refundable
- Influvia is not responsible for delays caused by influencer non-compliance
6. Content Usage Rights
- Unless otherwise agreed:
- Brands may reuse content for marketing and promotional purposes
- Influencer retains authorship rights
- Influvia may use content for portfolio, promotion, or case studies
7. Confidentiality
- Influencer agrees to keep confidential:
- Campaign details
- Brand information
- Payment terms
- Any non-public information
8. Termination
- Influvia may terminate this Agreement if the Influencer:
- Fails to deliver content
- Submits substandard or non-compliant content
- Breaches guidelines or ethical standards
- Provides false information
- No compensation shall be payable in case of termination due to breach.
9. Indemnification
- Influencer agrees to indemnify and hold Influvia harmless from:
- Legal claims
- Platform violations
- Third-party complaints
- Losses arising from influencer actions or content
10. No Guarantee Clause
- Influencer acknowledges that:
- Campaign outcomes are uncertain
- No promise of reach, engagement, income, or future work is guaranteed
11. Governing Law
- This Agreement shall be governed by the laws of India.
12. Acceptance
- By registering, accepting campaigns, or receiving payment through Influvia, the Influencer agrees to be bound by this Agreement.
